SEBI's fund-diversion allegations and the appeal

Letter of comfort and the Rs 200 crore fixed deposit

SEBI alleged that in 2018 a letter of comfort required Zee to keep a fixed deposit of at least Rs 200 crore available to a private bank while loans to associated entities were outstanding, that the bank applied the deposit against those loans, and that the associated entities then repaid Rs 200 crore to Zee with interest, which SEBI alleged was funded by round-tripping. The order records that the letter was issued without board approval. (2018 (as alleged by SEBI))

SEBI interim order bars two promoter-directors

SEBI barred the then chairman and the managing director and CEO from holding director or key managerial posts in Zee and other listed companies, on the basis of alleged diversion of company funds. News reports date the order to 12 June 2023 and say it was issued ex parte. (12 Jun 2023)

Tribunal declines interim relief

The Securities Appellate Tribunal declined to stay the SEBI interim order on the appeals filed by the two directors, according to Business Today's report of 10 July 2023. (10 Jul 2023)

SEBI confirmatory order

After a hearing directed by the tribunal, SEBI's chairperson passed a confirmatory order on 14 August 2023 continuing the bar on the managing director and CEO from acting as director or key managerial personnel in the company and related companies. (14 Aug 2023)

Tribunal sets aside the confirmatory order

The tribunal set aside the 14 August 2023 order against the managing director and CEO. Per legal commentary, it held that the round-tripping finding rested on presumption, that foundational facts had not been established, that proximity in time alone raised only suspicion, and that the bar across all listed companies was harsh and disproportionate. (30 Oct 2023)

The Sony merger and its collapse

Sony terminates the merger agreement; arbitration begins

Sony announced termination of the merger agreement on 22 January 2024 and began arbitration at the Singapore International Arbitration Centre seeking a termination fee of about USD 90 million. In February 2024 an emergency arbitrator declined to restrain Zee from approaching the NCLT; Sony said it was disappointed and would continue the arbitration. (22 Jan 2024; Feb 2024)

Zee and Sony settle all disputes

Zee and Sony announced a comprehensive non-cash settlement under which both withdrew all claims in the arbitration and related proceedings and withdrew the schemes of arrangement from the NCLT, with no continuing obligations between them. (Aug 2024)
