Independent committee, auditor and exchange status

Third-party committee formed

Nidec formed an independent third-party committee to investigate accounting irregularities. The company's own disclosure page carries an inconsistent year for the date, so the 2025 date is taken from the aggregator and the sequence of events. (3 Sep 2025)

Auditor disclaims an opinion

With the investigation ongoing and the effect of the suspected transactions unclear, Nidec's auditor issued a disclaimer of opinion on the annual securities report for the year to March 2025. One report names the auditor as PwC and says it could not obtain sufficient appropriate evidence. (FY ended Mar 2025 report)

Tokyo Stock Exchange places shares on special alert

The shares were designated a security on special alert because the company needed to improve its internal management system. Reuters was reported to say the exchange gave one year to improve or risk delisting. A report in 2026 says the designation remains and that the company is seeking the auditor's sign-off to avoid a delisting notice. (28 Oct 2025)

What the committee reported

Interim report: founder bears greatest responsibility

An outside-expert panel concluded that the founder bears the greatest responsibility, citing excessive pressure to meet performance targets, and estimated the effect on net assets at about 139.7 billion yen. The panel is reported to have found the founder did not direct or lead the irregularities but was aware, delayed corrective action and tolerated some of them. The panel recommended the company break away from the founder. (3 Mar 2026)

Resignations and company response

Four executives including the chairman resigned the same day, and the founder resigned as honorary chairman days later. The chief executive apologised, stayed in office and returned his full monthly pay for the time being. (Early Mar 2026)

Final report received

Nidec said it received the final report from the committee, which revealed multiple cases of accounting misconduct at a number of business bases across the group, and set out the company's response. (17 Apr 2026)

Report describes target pressure over about a decade

The report is described as saying the founder insisted on a 240 billion yen operating profit target and reprimanded executives who raised impairments that would breach it, and that in late 2016 senior figures allegedly ignored violations in a project meant to fix improper bookkeeping. (Apr 2026)

Financial and legal consequences

Large loss and impairments in the year to March 2026

Nidec was reported to have booked an operating loss of 519 billion yen and impairments of 632 billion yen for the year to March 2026, and to forecast a 200 billion yen profit on 2.8 trillion yen of sales for the current year. In March the company had indicated impairments of roughly 250 billion yen, mainly in auto parts. (Reported 2026)

Executive liability assessed at about 27.6 billion yen

A separate review is reported to have found that nine individuals breached their duties as executives, with the damage to the company, including investigation, outside auditor and listing-violation penalty costs, put at about 27.6 billion yen. The company said it would consider legal action after restating results. (20 Oct 2026)

Standard

This file compiles regulator and court documents, exchange and SEC filings, company statements and published reporting about Nidec Corporation. Allegations are attributed to those who made them. An investigation is not a charge, a charge is not a finding, and nothing here is a finding of wrongdoing unless a competent authority has made one. Nidec has itself disclosed accounting irregularities; the committee's findings are the committee's, not those of a court or the Japan Financial Services Agency, and no JFSA action was found. Individuals are not named unless an official document names them and they are central; otherwise roles are used. This is news coverage for information only, not investment advice.
